Terms of Service

Effective date: July 27, 2026

These Terms of Service (“Terms”) govern your access to and use of the LIVEPLUSTV cloud playout and streaming services (the “Service”) provided by LIVEPLUSTV INC. (“LIVEPLUSTV”, “we”, “us”). By creating an account, launching a channel, or otherwise using the Service, you (“you”, “Customer”) agree to these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind it. The Service is offered to businesses and to individuals acting for business purposes; you represent that you are using the Service for business purposes and are able to form a binding contract.

1. The Service

The Service lets you encode, schedule, and deliver live and linear video channels over our global delivery network. Each channel is provisioned in its own isolated environment according to your selected plan. Features, limits, and encoding capabilities are governed by your plan and any entitlements assigned to your account.

2. Accounts and security

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use at [email protected].

3. Plans, fees, and auto-renewal

Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment processor. Your subscription renews automatically at the end of each billing period until you cancel. You authorize us to charge your payment method for the then-current fees plus applicable taxes.

7-day money-back guarantee. If you cancel your first subscription within 7 days of your initial purchase, we will refund that first payment in full on request. The guarantee applies once per customer, to the first billing period of your first channel subscription only — not to renewals, plan changes, add-ons, or metered ad-serving fees. Otherwise, fees are non-refundable except where required by law or expressly stated. You can cancel at any time through the billing portal; access continues until the end of the paid period. We may change the fees for a renewal term by giving you at least 30 days’ notice before the renewal date; the new fees apply from the start of the next term.

4. Your content and the rights you grant

You retain ownership of the content you transmit through the Service (“Customer Content”). You grant us a limited, worldwide, non-exclusive license to host, transcode, package, cache, and deliver Customer Content solely to operate and provide the Service.

You represent and warrant that you own or have all rights, licenses, and permissions necessary to transmit, publicly perform, and distribute your Customer Content, including any third-party video, music, talent, trademarks, and broadcast or carriage rights. You are solely responsible for your Customer Content.

Codecs and third-party patent licensing. The Service encodes and delivers Customer Content using industry-standard audio and video compression formats (“codecs”), as determined by your plan and encoding selections. Codecs may be subject to third-party patent claims, including claims asserted by patent licensing pools against parties that distribute encoded content to end users. As between you and LIVEPLUSTV, you — as the party that owns, programs, operates, and monetizes your channels and determines their audience, distribution, and business model — are solely responsible for determining whether your distribution of content requires any third-party patent or content-distribution license, and for obtaining and maintaining any license so required. You represent that your use of the Service does not require LIVEPLUSTV to obtain any codec or content-distribution license on your behalf.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use & Content Policy, which is incorporated into these Terms. Among other things, you may not use the Service to transmit content that infringes intellectual property rights or is otherwise unlawful.

6. Copyright and the DMCA

We respond to notices of alleged copyright infringement and terminate repeat infringers in accordance with our DMCA Copyright Policy. We may disable or remove any channel, stream, or content, and suspend or terminate any account, in response to a valid infringement notice.

7. Data protection

Our handling of personal information is described in our Privacy Policy. Where we process personal data on your behalf in providing the Service (for example, data relating to your viewers), each party will comply with the data-protection laws applicable to it, and our Data Processing Addendum applies and is incorporated into these Terms. You are responsible for providing any required privacy notices to, and obtaining any required consents from, your viewers and end users.

8. Suspension and termination

We may suspend or terminate your access, or disable specific channels or content, immediately and without prior notice where we reasonably believe your use violates these Terms, the Acceptable Use Policy, or applicable law, infringes a third party’s rights, or creates risk or legal exposure for us or other customers. We may suspend the Service for non-payment. We may otherwise suspend or terminate for material breach. Upon termination, your right to use the Service ends and provisioned channels may be de-provisioned. Following termination, we may delete Customer Content after a reasonable period; you are responsible for retrieving your content before then.

9. Indemnification

You will defend, indemnify, and hold harmless LIVEPLUSTV and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your Customer Content, (b) your use of the Service, or (c) your violation of these Terms, the Acceptable Use Policy, or applicable law, including any third-party claim of intellectual-property infringement (and any patent claim relating to codecs used to encode or deliver your channels). We will notify you promptly of any such claim and give you control of its defense, with our right to participate with counsel of our own choosing, and will reasonably cooperate at your expense. You may not settle any claim in a manner that imposes obligations on us without our prior written consent.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, LIVEPLUSTV will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim. The foregoing cap and exclusion of damages do not apply to (a) your indemnification obligations under Section 9, (b) your breach of Section 4 or the Acceptable Use Policy, or (c) amounts owed to us for the Service.

12. Changes

We may modify the Service or these Terms. If we make material changes, we will provide notice (for example, by email or in-product). Your continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

14. General

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for your payment obligations. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Sections 4, 9, 10, 11, 13, and 14 survive termination. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of it. These Terms, together with the policies they incorporate, are the entire agreement between the parties regarding the Service.
